Terms of Service of SoyChat

These Terms govern:

  • the use of SoyChat, and,
  • any other related Agreement or legal relationship with the Owner

in a legally binding way. Capitalized words are defined in the relevant dedicated section of this document.

The User must read this document carefully.

What the User should know at a glance

  • Please note that some provisions in these Terms may only apply to certain categories of Users. In particular, certain provisions may only apply to Consumers or to those Users that do not qualify as Consumers. Such limitations are always explicitly mentioned within each affected clause. In the absence of any such mention, clauses apply to all Users.
  • SoyChat uses artificial intelligence to generate responses. AI-generated content may contain errors or inaccuracies.
  • Usage of SoyChat and the Service is age restricted: Users must be 18 years or older.
  • The Service processes personal data and documents. Users must comply with applicable data protection laws (GDPR, LGPD).

TERMS OF USE

Unless otherwise specified, the terms of use detailed in this section apply generally when using SoyChat.

Single or additional conditions of use or access may apply in specific scenarios and in such cases are additionally indicated within this document.

By using SoyChat, Users confirm to meet the following requirements:

  • There are no restrictions for Users in terms of being Consumers or Business Users;
  • Users must be 18 years or older;
  • Users agree to use the Service in compliance with all applicable laws, including data protection regulations (GDPR, LGPD, and other applicable laws).

Account registration

To use the Service Users must register or create a User account, providing all required data or information in a complete and truthful manner.

Failure to do so will cause unavailability of the Service.

Users are responsible for keeping their login credentials confidential and safe. For this reason, Users are also required to choose passwords that meet the highest standards of strength permitted by SoyChat.

By registering, Users agree to be fully responsible for all activities that occur under their username and password.

Users are required to immediately and unambiguously inform the Owner via the contact details indicated in this document, if they think their personal information, including but not limited to User accounts, access credentials or personal data, have been violated, unduly disclosed or stolen.

Conditions for account registration

Registration of User accounts on SoyChat is subject to the conditions outlined below. By registering, Users agree to meet such conditions.

  • Accounts registered by bots or any other automated methods are not permitted.
  • Unless otherwise specified, each User must register only one account.
  • Unless explicitly permitted, a User account may not be shared with other persons.
  • Users must provide accurate contact information, including a valid email address.
  • Users represent that they have the legal authority to upload and process any documents or data they provide to the Service.

Account termination

Users can terminate their account and stop using the Service at any time by:

  • Accessing account settings and selecting "Delete Account", or
  • By directly contacting the Owner at the contact details provided in this document.

Upon account termination, all User data, uploaded documents, chat interfaces, and associated data will be permanently deleted in accordance with our Privacy Policy.

Account suspension and deletion

The Owner reserves the right, at its sole discretion, to suspend or delete at any time and without notice, User accounts that it deems inappropriate, offensive or in violation of these Terms.

The suspension or deletion of User accounts shall not entitle Users to any claims for compensation, damages or reimbursement.

The suspension or deletion of accounts due to causes attributable to the User does not exempt the User from paying any applicable fees or prices.


Description of Service

SoyChat is an AI-powered chat application platform that enables Users to:

  • Upload documents and files to create knowledge bases (Retrieval-Augmented Generation or "RAG")
  • Create customizable AI chat interfaces that can answer questions based on uploaded documents
  • Deploy chat interfaces for end users ("Visitors") to interact with
  • Monitor usage and interactions through analytics
  • Manage multiple chat interfaces and document collections

AI-Generated Content Disclaimer

Important: SoyChat uses third-party artificial intelligence models to generate responses. Users acknowledge and agree that:

  • AI-generated responses may contain errors, inaccuracies, or "hallucinations"
  • The Owner does not guarantee the accuracy, completeness, reliability, or fitness for any particular purpose of AI-generated content
  • AI responses are based on the documents Users upload and the AI model's training data
  • Users are solely responsible for reviewing and verifying AI-generated content before relying on it or sharing it with others
  • AI-generated responses do not constitute professional advice (legal, medical, financial, or otherwise)

Service Limitations

The Owner does not guarantee:

  • That the Service will be available without interruption
  • That AI responses will be accurate or appropriate
  • That the Service will meet all User requirements
  • That defects will be corrected immediately
  • Compatibility with all devices, browsers, or operating systems

Subscription Plans and Pricing

SoyChat offers the following subscription tiers:

1. Starter Plan (Free)

  • Price: Free
  • Custom AI assistant with basic capabilities
  • Random domain access
  • Basic support
  • Advanced analytics
  • Limited knowledge base size
  • Up to 100 messages per month
  • Custom subdomain access
  • Chat history enabled

2. Pro Plan

  • Price: $5.00 USD per month or $50.00 USD per year
  • Everything in Starter
  • Priority support
  • High knowledge base size
  • Up to 2,000 messages per month

3. Max Plan

  • Price: $10.00 USD per month or $100.00 USD per year
  • Everything in Pro
  • Extended file storage (highest knowledge base size)
  • Up to 10,000 messages per month
  • Custom domain access

All prices are in USD and exclude applicable taxes (VAT, sales tax, etc.) which will be calculated at checkout.

Payment Terms

  • Subscriptions are billed in advance (monthly or annually)
  • Payments are processed by Stripe
  • Subscriptions automatically renew unless canceled before the renewal date
  • By providing payment information, you authorize recurring charges
  • You agree to Stripe's Terms of Service: https://stripe.com/legal

Right of Withdrawal (Cooling-Off Period)

EU Users (Consumer Rights Directive 2011/83/EU):

You have the right to withdraw from your subscription within 14 days of purchase without giving any reason.

However, by creating an account and immediately accessing the Service (including uploading documents, creating chat interfaces, or using any features), you explicitly request immediate performance of the contract. In accordance with Article 16(a) of the Consumer Rights Directive, you acknowledge that you will lose your right of withdrawal once you begin using the Service, as the service has begun to be performed with your prior express consent.

To exercise your right of withdrawal before using the Service: Contact us at hello@soy.chat within 14 days. We will provide a full refund within 14 days of receiving your withdrawal notice.

Brazilian Users (CDC Article 49):

You have the right to cancel your subscription within 7 days of purchase for distance contracts.

By creating an account and immediately accessing the Service, you request immediate access. However, your right to cancel within 7 days remains available. The service performance with your consent may affect this right once fully utilized.

To exercise your right of cancellation: Contact us at hello@soy.chat within 7 days. We will provide a full refund immediately upon receiving your request.

Other Users:

We offer a voluntary 14-day satisfaction period. If you're not satisfied within 14 days of purchase, contact us at hello@soy.chat for a refund.

Refunds After Cooling-Off Period

After the cooling-off period expires, refunds are handled as follows:

  • Monthly subscriptions: No refunds after 14 days. You can cancel anytime to prevent future charges.
  • Annual subscriptions: Pro-rated refunds available within 30 days of purchase at our discretion. After 30 days, no refunds provided, but you can cancel to prevent renewal.
  • Free tier: No refunds applicable.

After the cooling-off period, refunds for monthly subscriptions are not automatically provided but may be considered at our sole discretion on a case-by-case basis.

How to Cancel Your Subscription

You can cancel your subscription at any time:

  • Through your account settings under "Billing", or
  • By emailing us at refunds@soy.chat

Cancellation prevents future billing but does not refund the current billing period (except during cooling-off period or as stated above).

Price Changes

We may change subscription prices with at least 30 days' notice to active subscribers. Price changes will not affect your current billing period. Continued use after price changes constitutes acceptance of the new prices.

Taxes

Prices exclude applicable taxes (VAT for EU customers, sales tax where applicable). Taxes will be calculated and added at checkout based on your location.


Content on SoyChat

Unless where otherwise specified or clearly recognizable, all content available on SoyChat (including the software, user interface, design, and branding) is owned or provided by the Owner or its licensors.

The Owner undertakes its utmost effort to ensure that the content provided on SoyChat infringes no applicable legal provisions or third-party rights. However, it may not always be possible to achieve such a result.

In such cases, without prejudice to any legal prerogatives of Users to enforce their rights, Users are kindly asked to preferably report related complaints using the contact details provided in this document.

Rights regarding content on SoyChat - All rights reserved

The Owner holds and reserves all intellectual property rights for any such content.

Users may not, therefore, use such content in any way that is not necessary or implicit in the proper use of the Service.

In particular, but without limitation, Users may not copy, download, share (beyond the limits set forth below), modify, translate, transform, publish, transmit, sell, sublicense, edit, transfer/assign to third parties or create derivative works from the content available on SoyChat, nor allow any third party to do so through the User or their device, even without the User's knowledge.

Where explicitly stated on SoyChat, the User may download, copy and/or share some content available through SoyChat for its sole personal and non-commercial use and provided that the copyright attributions and all the other attributions requested by the Owner are correctly implemented.

SoyChat™ Trademark

"SoyChat" and the SoyChat logo are trademarks currently in the process of registration with the European Union Intellectual Property Office (EUIPO) and are the exclusive property of Marcelo Vicente Guimarães Cardoso LTDA. Users may not use these trademarks without express written permission from the Owner.


Content provided by Users

The Owner allows Users to upload, share or provide their own content to SoyChat, including but not limited to:

  • Documents, files, and data for RAG processing
  • Text prompts and chat configurations
  • Custom branding and interface customizations
  • Any other materials uploaded to the Service

By providing content to SoyChat, Users confirm that they are legally allowed to do so and that they are not infringing any statutory provisions and/or third-party rights.

Rights regarding content provided by Users

Users retain all ownership rights to content they upload. By uploading content, Users grant the Owner a non-exclusive, fully paid-up and royalty-free license to:

  • Store, process, and transmit their content
  • Use their content to provide and improve the Service
  • Generate AI responses and embeddings based on their content
  • Create vector embeddings and process content for RAG functionality
  • Display content within the User's chat interfaces
  • Process content through third-party AI providers as necessary to provide the Service

This license terminates when Users delete their content or close their account, subject to reasonable retention for backup and legal compliance purposes as described in our Privacy Policy.

To the extent permitted by applicable law, Users waive any moral rights in connection with content they provide to SoyChat.

Data Protection Obligations for Users

Users act as data controllers when they:

  • Upload documents containing personal data
  • Collect information from Visitors through their chat interfaces
  • Process any personal data through the Service

Users represent and warrant that:

  • They have a lawful basis under GDPR, LGPD, or other applicable data protection laws to process any personal data uploaded to or collected through the Service
  • They have obtained all necessary consents and provided all required notices to data subjects
  • They comply with all applicable data protection laws in their use of the Service
  • They will not upload personal data they are not authorized to process

The relationship between the Owner and Users regarding personal data processing is governed by our Data Processing Agreement (DPA), which forms part of these Terms.

Liability for provided content

Users are solely liable for any content they upload, post, share, or provide through SoyChat. Users acknowledge and accept that the Owner does not filter or moderate such content before it is uploaded.

However, the Owner reserves the right to remove, delete, block, or refuse to process such content at its own discretion and, without prior notice, to deny the uploading User access to SoyChat:

  • Upon becoming aware of any (alleged) violation of these Terms, any third-party rights, or applicable law, based on such content;
  • If a notice of infringement of intellectual property rights is received;
  • If a notice of violation of a third party's privacy, including their intimate privacy, is received;
  • If the content contains personal data processed in violation of data protection laws (GDPR, LGPD);
  • If the content contains illegal material, including child sexual abuse material;
  • Upon order of a public authority; or
  • Where the Owner is made aware that the content, while being accessible via SoyChat, may represent a risk for Users, third parties, and/or the availability of the Service.

The removal, deletion or blocking of content shall not entitle Users that have provided such content or that are liable for it, to any claims for compensation, damages or reimbursement.

Users agree to hold the Owner harmless from and against any claim asserted and/or damage suffered due to content they provided to or provided through SoyChat.

Prohibited Content

Users may not upload content that:

  • Is illegal, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, or invasive of another's privacy
  • Violates intellectual property or privacy rights
  • Contains personal data the User is not authorized to process under applicable data protection laws
  • Promotes violence, hate speech, discrimination, or terrorism
  • Contains malware, viruses, or malicious code
  • Facilitates illegal activities or fraud
  • Contains sexually explicit material, especially involving minors
  • Violates export control laws or sanctions
  • Infringes any third-party rights

Access to provided content

Content that Users provide to SoyChat is made available according to the criteria outlined within this section.

Private content by default

By default, content provided by Users (including uploaded documents and data) shall stay private and will not be shared with any third parties except:

  • The Owner and its service providers (including AI providers) to the extent necessary to provide the Service
  • Visitors who interact with chat interfaces created by the User, who will only have access to AI-generated responses based on the content, not the underlying documents themselves
  • As required by law or legal process

Content shared with Visitors

When Users create chat interfaces for Visitors:

  • Visitors can send messages and receive AI-generated responses based on User's uploaded documents
  • Visitors do not have direct access to the underlying documents
  • Visitors cannot download or view the original documents uploaded by Users
  • Only AI-generated responses are visible to Visitors

User responsibility for Visitor data

Users are responsible for:

  • Informing Visitors that they are interacting with an AI system
  • Complying with data protection laws for any personal data collected from Visitors
  • Providing appropriate privacy notices to Visitors
  • Obtaining necessary consents from Visitors
  • Responding to Visitor data subject requests (access, deletion, etc.)

Access to external resources

Through SoyChat, Users may have access to external resources provided by third parties, including links to third-party AI providers, documentation, or other services.

Users acknowledge and accept that the Owner has no control over such resources and is therefore not responsible for their content and availability.

Conditions applicable to any resources provided by third parties, including those applicable to any possible grant of rights in content, result from each such third parties' terms and conditions or, in the absence of those, applicable statutory law.

Third-Party AI Providers

SoyChat uses third-party artificial intelligence services to generate responses. Users acknowledge that:

  • Chat messages and uploaded documents are processed by these third-party providers
  • The Owner has Data Processing Agreements with these providers
  • These providers' privacy policies and terms apply to their processing of data
  • The Owner is not responsible for the actions or policies of third-party AI providers

AI Service Providers: SoyChat currently uses the following third-party AI providers to process your data and generate responses:

We maintain Data Processing Agreements with all AI providers listed above to ensure compliance with GDPR, LGPD, and other applicable data protection laws.

Changes to AI Providers: We may add, remove, or change AI providers as needed for service optimization. If we add new AI providers that will process your personal data, we will:

  • Update this list within 5 business days
  • Notify active users via email at least 30 days before the new provider processes your data (where required by law)
  • Provide you the opportunity to object or terminate your account if you do not consent to the new provider

Acceptable use

SoyChat and the Service may only be used within the scope of what they are provided for, under these Terms and applicable law.

Users are solely responsible for making sure that their use of SoyChat and/or the Service violates no applicable law, regulations or third-party rights.

Therefore, the Owner reserves the right to take any appropriate measure to protect its legitimate interests including by denying Users access to SoyChat or the Service, terminating contracts, reporting any misconduct performed through SoyChat or the Service to the competent authorities – such as judicial or administrative authorities - whenever Users engage or are suspected to engage in any of the following activities:

  • Violate laws, regulations and/or these Terms;
  • Infringe any third-party rights;
  • Considerably impair the Owner's legitimate interests;
  • Offend the Owner or any third party;
  • Use the Service to process personal data without lawful basis under GDPR, LGPD, or other applicable laws;
  • Attempt to reverse engineer, decompile, or extract the underlying AI models or algorithms;
  • Use the Service to generate spam, malicious content, or engage in fraudulent activities;
  • Attempt to bypass usage limits, security measures, or access controls;
  • Use automated tools to access the Service without permission (scraping, bots, etc.);
  • Resell or redistribute the Service without authorization;
  • Use the Service in any way that could damage, disable, overburden, or impair the Service;
  • Attempt to gain unauthorized access to other Users' accounts or data.

API and Developer Access

If the Owner provides API access or developer tools:

  • Users must comply with any additional API Terms of Service
  • API usage may be subject to rate limits and additional fees
  • The Owner reserves the right to revoke API access at any time
  • Users may not use the API to compete with or replicate the Service

Liability and indemnification

EU and Brazilian Users - Mandatory Consumer Protections

Nothing in these Terms shall exclude or limit liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded or limited under applicable law, including mandatory consumer protection laws in the EU and Brazil

For EU Consumers: Your statutory rights under EU and national consumer protection law are not affected by these Terms. You always retain your rights under applicable mandatory consumer protection legislation.

For Brazilian Consumers (CDC): These Terms do not limit your rights under the Brazilian Consumer Defense Code (Lei nº 8.078/1990), which provides strong consumer protections that cannot be waived by contract.

Indemnification

The User agrees to indemnify and hold the Owner and its subsidiaries, affiliates, officers, directors, agents, partners and employees harmless from and against any claim or demand — including but not limited to lawyer's fees and costs — made by any third party due to or in relation with:

  • Any culpable violation of these Terms
  • Violation of third-party rights or statutory provisions connected to the use of the Service by the User
  • Content uploaded or provided by the User
  • Violation of data protection laws (GDPR, LGPD, etc.) in the User's processing of personal data through the Service
  • Claims by Visitors or other third parties arising from the User's chat interfaces
  • Any breach of the User's representations and warranties in these Terms

This indemnification applies to the extent allowed by applicable law.

Limitation of liability

Unless otherwise explicitly stated and without prejudice to applicable law, Users shall have no right to claim damages against the Owner (or any natural or legal person acting on its behalf).

This does not apply to damages to life, health or physical integrity, damages resulting from the breach of material contractual obligations such as any obligation strictly necessary to achieve the purpose of the contract, and/or damages resulting from intent or gross negligence, as long as SoyChat has been appropriately and correctly used by the User.

Unless damages have been caused by way of intent or gross negligence, or they affect life, health or physical integrity, the Owner shall only be liable to the extent of typical and foreseeable damages at the moment the contract was entered into.

In particular, the Owner shall not be liable for:

  • Any loss of business opportunities and any other loss, even indirect, that may be incurred by the User (such as, but not limited to, trading losses, loss of revenue, income, profits or anticipated savings, loss of contracts or business relationships, loss of reputation or goodwill, etc.);
  • Damages or losses resulting from interruptions or malfunctions of SoyChat due to acts of force majeure, or unforeseen and unforeseeable events and, in any case, independent of the will and beyond the control of the Owner;
  • Inaccuracies, errors, or omissions in AI-generated content;
  • Decisions made by Users or Visitors based on AI-generated content;
  • Damages resulting from third-party AI providers' actions or failures.

Australian Users - Limitation of liability

Nothing in these Terms excludes, restricts or modifies any guarantee, condition, warranty, right or remedy which the User may have under the Competition and Consumer Act 2010 (Cth) or any similar State and Territory legislation and which cannot be excluded, restricted or modified (non-excludable right).

To the fullest extent permitted by law, our liability to the User, including liability for a breach of a non-excludable right and liability which is not otherwise excluded under these Terms of Use, is limited, at the Owner's sole discretion, to the re-performance of the services or the payment of the cost of having the services supplied again.

US Users - Disclaimer of Warranties

SoyChat is provided strictly on an "as is" and "as available" basis. Use of the Service is at Users' own risk. To the maximum extent permitted by applicable law, the Owner expressly disclaims all conditions, representations, and warranties — whether express, implied, statutory or otherwise, including, but not limited to, any implied warranty of merchantability, fitness for a particular purpose, or non-infringement of third-party rights.

No advice or information, whether oral or written, obtained by the User from the Owner or through the Service will create any warranty not expressly stated herein.

Specifically regarding AI-generated content: The Owner makes no warranties regarding the accuracy, reliability, completeness, or appropriateness of AI-generated responses. Users use AI-generated content entirely at their own risk.

Without limiting the foregoing, the Owner, its subsidiaries, affiliates, licensors, officers, directors, agents, partners, suppliers and employees do not warrant that:

  • The content is accurate, reliable or correct;
  • AI-generated responses will be free from errors or hallucinations;
  • The Service will meet Users' requirements;
  • The Service will be available at any particular time or location, uninterrupted or secure;
  • Any defects or errors will be corrected;
  • The Service is free of viruses or other harmful components.

Federal law, some states, and other jurisdictions, do not allow the exclusion and limitations of certain implied warranties. The above exclusions may not apply to Users. This Agreement gives Users specific legal rights, and Users may also have other rights which vary from state to state.

US Users - Limitations of liability

To the maximum extent permitted by applicable law, in no event shall the Owner, and its subsidiaries, affiliates, officers, directors, agents, partners, suppliers and employees be liable for:

  • Any indirect, punitive, incidental, special, consequential or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data or other intangible losses, arising out of or relating to the use of, or inability to use, the Service;
  • Any damage, loss or injury resulting from hacking, tampering or other unauthorized access or use of the Service or User account or the information contained therein;
  • Any errors, mistakes, or inaccuracies of content, including AI-generated content;
  • Personal injury or property damage resulting from User access to or use of the Service;
  • Any unauthorized access to or use of the Owner's secure servers and/or any and all personal information stored therein;
  • Any interruption or cessation of transmission to or from the Service;
  • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service;
  • Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service; and/or
  • The defamatory, offensive, or illegal conduct of any User or third party.

In no event shall the Owner be liable for any claims, proceedings, liabilities, obligations, damages, losses or costs in an amount exceeding the amount paid by User to the Owner in the preceding 12 months, or the period of duration of this agreement between the Owner and User, whichever is shorter.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, therefore the above limitations or exclusions may not apply to the User.

US Users - Indemnification

The User agrees to defend, indemnify and hold the Owner and its subsidiaries, affiliates, officers, directors, agents, partners, suppliers and employees harmless from and against any and all claims or demands, damages, obligations, losses, liabilities, costs or debt, and expenses, including, but not limited to, legal fees and expenses, arising from:

  • User's use of and access to the Service;
  • User's violation of these terms;
  • User's violation of any third-party rights, including intellectual property or privacy rights;
  • User's violation of any data protection laws (GDPR, LGPD, CCPA, etc.);
  • Any content submitted from User's account;
  • Claims by Visitors or third parties related to User's chat interfaces;
  • User's willful misconduct.

Common provisions

No Waiver

The Owner's failure to assert any right or provision under these Terms shall not constitute a waiver of any such right or provision. No waiver shall be considered a further or continuing waiver of such term or any other term.

Service interruption

To ensure the best possible service level, the Owner reserves the right to interrupt the Service for maintenance, system updates or any other changes, informing the Users appropriately.

Within the limits of law, the Owner may also decide to suspend or discontinue the Service altogether. If the Service is discontinued, the Owner will cooperate with Users to enable them to withdraw Personal Data or information and will respect Users' rights relating to continued product use and/or compensation, as provided for by applicable law.

Additionally, the Service might not be available due to reasons outside the Owner's reasonable control, such as "force majeure" events (infrastructural breakdowns, blackouts, natural disasters, pandemics, etc.).

Service reselling

Users may not reproduce, duplicate, copy, sell, resell or exploit any portion of SoyChat and of its Service without the Owner's express prior written permission, granted either directly or through a legitimate reselling programme.

Privacy policy

To learn more about the use of their Personal Data, Users may refer to the Privacy Policy of SoyChat available at [https://soy.chat/privacy].

Users acknowledge that the Privacy Policy is incorporated by reference into these Terms.

Intellectual property rights

SoyChat™ is a trademark currently in the process of registration with the European Union Intellectual Property Office (EUIPO).

Users may not use these trademarks without express written permission from the Owner.

Changes to these Terms

The Owner reserves the right to amend or otherwise modify these Terms at any time. In such cases, the Owner will appropriately inform the User of these changes.

Such changes will only affect the relationship with the User from the date communicated to Users onwards.

The continued use of the Service will signify the User's acceptance of the revised Terms. If Users do not wish to be bound by the changes, they must stop using the Service and may terminate the Agreement.

The applicable previous version will govern the relationship prior to the User's acceptance. The User can obtain any previous version from the Owner.

If legally required, the Owner will notify Users in advance of when the modified Terms will take effect.

Assignment of contract

The Owner reserves the right to transfer, assign, dispose of by novation, or subcontract any or all rights or obligations under these Terms, taking the User's legitimate interests into account. Provisions regarding changes of these Terms will apply accordingly.

Users may not assign or transfer their rights or obligations under these Terms in any way, without the written permission of the Owner.

Severability

Should any provision of these Terms be deemed or become invalid or unenforceable under applicable law, the invalidity or unenforceability of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect.

US Users

Any such invalid or unenforceable provision will be interpreted, construed and reformed to the extent reasonably required to render it valid, enforceable and consistent with its original intent. These Terms constitute the entire Agreement between Users and the Owner with respect to the subject matter hereof, and supersede all other communications, including but not limited to all prior agreements, between the parties with respect to such subject matter. These Terms will be enforced to the fullest extent permitted by law.

EU Users

Should any provision of these Terms be or be deemed void, invalid or unenforceable, the parties shall do their best to find, in an amicable way, an agreement on valid and enforceable provisions thereby substituting the void, invalid or unenforceable parts.

In case of failure to do so, the void, invalid or unenforceable provisions shall be replaced by the applicable statutory provisions, if so permitted or stated under the applicable law.

Without prejudice to the above, the nullity, invalidity or impossibility to enforce a particular provision of these Terms shall not nullify the entire Agreement, unless the severed provisions are essential to the Agreement, or of such importance that the parties would not have entered into the contract if they had known that the provision would not be valid, or in cases where the remaining provisions would translate into an unacceptable hardship on any of the parties.


Dispute Resolution and Applicable Law

Governing law

For Brazilian Users: These Terms are governed by Brazilian law (Lei nº 8.078/1990 - Código de Defesa do Consumidor and other applicable Brazilian legislation).

For Other Users: These Terms are governed by the laws of Brazil (where the Owner is registered), without regard to conflict of law provisions.

Prevalence of national law

However, regardless of the above, if the law of the country that the User is located in provides for higher applicable consumer protection standards, such higher standards shall prevail.

Venue of jurisdiction

For EU Users: In accordance with EU Regulation 1215/2012 (Brussels I Recast), EU Consumers may bring disputes in either:

  • The courts of their country of residence, OR
  • The courts of Brazil (where the Owner is established)

EU Consumers have the right to use the EU Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr

For Brazilian Users: Disputes shall be resolved in the courts of Brazil, in the jurisdiction of your domicile (CDC Article 101, I).

For Other Users: The exclusive competence to decide on any controversy resulting from or connected to these Terms lies with the courts of Salvador, Bahia, Brazil.

Exception for Consumers in Europe

Nothing in these Terms limits the rights of European Consumers under EU Directive 2011/83/EU (Consumer Rights Directive) or other mandatory consumer protection legislation.

Consumer Rights

Nothing in these Terms limits your rights as a consumer under mandatory laws in your jurisdiction, including:

  • EU Consumer Rights Directive (2011/83/EU)
  • Brazilian Consumer Defense Code (CDC - Lei 8.078/1990)
  • Other applicable consumer protection laws

Time Limitation

Claims must be brought within the time period specified by applicable law in your jurisdiction.


Definitions and legal references

Definitions

For the purposes of these Terms:

"Owner" or "We" or "Us" refers to Marcelo Vicente Guimarães Cardoso LTDA, a company registered in Brazil with CNPJ: 48.374.051/0001-00, with registered office at Avenida Tancredo Neves, 2539, Sala 2609 - CEO Salvador Shopping Torre Londres, Caminho das Árvores, Salvador - BA, 41820-021, Brazil.

"User" or "You" refers to any individual or legal entity that creates an account and uses SoyChat, including both Consumer Users and Business Users.

"Consumer" or "Consumer User" refers to any User who is an individual acting for purposes which are outside their trade, business, craft, or profession. This includes individuals protected under EU Consumer Rights Directive (2011/83/EU) and Brazilian Consumer Defense Code (CDC - Lei 8.078/1990).

"Business User" refers to any User who is an individual or legal entity acting in the course of their trade, business, craft, or profession.

"Service" refers to the SoyChat platform and all features, functionality, and services provided through SoyChat, including but not limited to document upload, AI chat interfaces, analytics, and related services.

"SoyChat" or "Application" refers to the AI-powered chat application platform accessible via web interface, mobile applications, or API, that enables Users to create knowledge bases and deploy AI chat interfaces.

"Content" refers to any text, documents, files, data, images, software, or other materials, whether provided by the Owner, Users, or third parties.

"User Content" refers specifically to any content that Users upload, submit, post, or otherwise provide to SoyChat, including but not limited to documents, files, data, text prompts, chat configurations, and custom branding materials.

"Visitor" refers to any individual who interacts with a chat interface created by a User, but who does not have a User account on SoyChat. Visitors are end-users of the User's chat interface.

"Personal Data" refers to any information relating to an identified or identifiable natural person, as defined under applicable data protection laws including GDPR (Regulation EU 2016/679) and LGPD (Lei Geral de Proteção de Dados - Lei 13.709/2018).

"Data Controller" refers to the natural or legal person which, alone or jointly with others, determines the purposes and means of the processing of Personal Data. Users act as Data Controllers when they process Personal Data through the Service.

"Data Processor" refers to the natural or legal person which processes Personal Data on behalf of the Data Controller. The Owner acts as a Data Processor for certain User data processing activities as specified in the Data Processing Agreement.

"AI Provider" refers to third-party artificial intelligence service providers whose models and APIs are used by SoyChat to generate responses, including but not limited to Groq, OpenRouter, Google Gemini, and Cerebras.

"RAG" or "Retrieval-Augmented Generation" refers to the technology that allows AI systems to retrieve relevant information from User-uploaded documents and use that information to generate contextually relevant responses.

"Chat Interface" refers to the customizable AI-powered chat widget or application that Users create and deploy for Visitors to interact with.

"Knowledge Base" refers to the collection of documents and data uploaded by a User that serves as the source material for AI-generated responses in their Chat Interface.

"Message" refers to a single query or input submitted by a User or Visitor to the AI system, which generates a corresponding AI response. Message limits are calculated based on incoming queries, not AI responses.

"Subscription Plan" refers to the pricing tier selected by the User (Starter, Pro, or Max), which determines the features, limits, and pricing applicable to their account.

"Terms" or "Terms of Service" or "Agreement" refers to this document, including all sections and any documents incorporated by reference, such as the Privacy Policy and Data Processing Agreement.
